Bylaws

§1 The Society
The Society for Bioinformatics in the Nordic Countries (SocBiN) is a non-profit society for everyone working or interested in bioinformatics. Activities are focused on the Nordic countries. The legal home of the Society is Sweden.
§2 The purpose of the Society
The purpose of the Society is to promote the development of bioinformatics in the Nordic countries and to commission the organisation of an annual conference.
§3 The working year
The working year is the period between two consecutive annual general meetings.
§4 The board
The board consists of a president, a vice president, a treasurer, and at least six additional members. Each Nordic country should be represented by at least one member. The board appoints organising and programme committees for the annual conference. Board meetings are documented with minutes posted on the Society’s home page.
§5 The term of office
The term of office is three years with the possibility to be re-elected for one additional period. A third of the board, including one of the officers, should be elected each year.
§6 The annual general meeting
The annual general meeting should be held in conjunction with the annual conference of the Society. The treasurer should present the economic status of the Society together with the auditors’ statement. Elections of the board and two auditors are held at the annual meeting.
§7 Extra general meeting
The board may propose an extra general meeting if important issues cannot wait until the next annual general meeting. The call should be sent by email to all members and posted on the Society home page 30 days in advance. Only listed issues may be discussed.
§8 Authority to represent the Society
The treasurer and the president are individually authorised to sign for the Society.
§9 Changes to bylaws
Changes to the bylaws can only be made at the annual general meeting and must be proposed to all members at least 30 days prior to the meeting. Changes require at least a two-thirds majority of members present.
